The firm represents buyers, sellers, and owners in the purchase, sale, and leasing of commercial property, including acreage. This work includes due diligence, purchase and sale agreements, and ground, retail, and other commercial leases.
Title Insurance and Closings
The firm is authorized to issue owner’s and lender’s title insurance throughout Florida. The firm also represents clients at closings in which another agent issues the policy.
Commercial Lending
The firm represents lenders and borrowers in commercial loans, including the promissory notes, mortgages, and other loan documents. The firm also handles loan and collateral modifications and workouts.
Business and Corporate
The firm forms corporations and limited liability companies and prepares operating agreements, bylaws, consents, and resolutions. The firm also handles annual filings and serves as registered agent for client companies.
The firm prepares agreements among owners and employment, restrictive covenant, and nondisclosure agreements. The firm also represents buyers and sellers in the purchase and sale of businesses and business assets.
Outside General Counsel
The firm serves as outside general counsel to businesses. For contractors and subcontractors, this includes licensing and construction lien compliance.
Estate Planning and Administration
The firm prepares wills, powers of attorney, health care directives, and trusts, and handles the transfer of real property outside of probate. The firm also represents personal representatives and trustees in the administration of estates and trusts.
